These Terms of Use ("Terms") govern your access to and use of ExoChat's websites, applications, AI orchestration platform, APIs, documentation, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind such entity. In that case, "you" and "Customer" refer to that entity. If you do not agree to these Terms, do not access or use the Services.
1. Overview of the Services
ExoChat provides a framework for building structured, controllable AI conversations, based on finite state machines and orchestration logic on top of large language models (LLMs). The Services may include:
- A web and/or desktop interface
- APIs and SDKs
- Configuration & orchestration tools
- Integration with third-party LLM providers
- Analytics, logging, and monitoring features
- Documentation and support
We may update, improve, or modify the Services from time to time, including adding or removing features. Material changes affecting core functionality will be communicated with reasonable advance notice.
2. Eligibility & Account Registration
2.1. Eligibility
To use the Services, you must:
- be at least 18 years old (or older if required in your jurisdiction);
- have legal capacity to enter into a binding contract;
- not be barred from using the Services under applicable law or sanctions.
2.2. Account Registration
To use certain features, you must create an account and provide accurate, complete information. You agree to: keep your account information up to date; maintain the confidentiality of your login details; enable multi-factor authentication (MFA) where available; promptly notify us of any unauthorized use or security breach. You are responsible for all activities that occur under your account.
3. Free Trials, Plans, and Billing
We may offer free trials or evaluation periods. The Services may be offered under different plans (e.g., Free, Pro, Enterprise), each with its own pricing, usage limits, support level, and commitments. Fees are typically billed monthly or annually in advance. Payments are processed via approved payment providers (e.g., Stripe). Fees may be refunded on a pro-rata basis in certain circumstances. Refund requests must be submitted in writing to info@exo-chat.com within 30 days.
4. Use of the Services
Subject to these Terms and timely payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You agree not to use the Services to violate applicable law, generate illegal or harmful content, build spam or malicious systems, reverse engineer the Services, or circumvent usage limits. You may not use the Services if you are located in a sanctioned country or on a restricted party list.
5. Customer Data and AI Content
You retain all rights to Customer Data. You grant ExoChat a limited license to host, store, process, and display Customer Data for operating the Services. We do not use Customer Data for product improvement or marketing unless you explicitly opt-in. You own your AI Outputs to the extent permitted by law. ExoChat does not use Customer Data to train proprietary models. You acknowledge AI outputs may be inaccurate, biased, or require human review.
6. Third-Party Services
The Services integrate with third-party LLM providers and cloud infrastructure. Your use may be subject to their terms. We make commercially reasonable efforts to maintain service continuity but do not control third-party availability. We will notify you of extended outages and may provide credits for paid customers in certain circumstances.
7. Intellectual Property
ExoChat owns all rights to the Services, technology, documentation, and branding. No ownership rights are transferred. You may submit feedback; by doing so, you grant ExoChat a perpetual, royalty-free license to use and incorporate it.
8. Confidentiality
Each party shall protect the other's Confidential Information using reasonable care and use it only as necessary to perform obligations. Confidential Information excludes publicly available information, information known before disclosure, and independently developed information.
9. Data Protection, Security & Retention
Our processing is governed by our Privacy Policy and Data Processing Agreement. We implement security measures including encryption, RBAC, MFA, and regular audits. Account data is stored for the duration of your account. After termination, you have 30 days to export data before deletion.
10. Service Availability & Support
Services may be temporarily unavailable due to maintenance or third-party issues. Free/Pro plans: best-effort basis. Enterprise plans: 99.5% uptime SLA. Support levels vary by plan (community, email, or dedicated account manager).
11. Suspension & Termination
We may suspend access for violation of Terms, security risk, or non-payment. You may terminate at any time via the dashboard or by emailing info@exo-chat.com. Termination is effective at the end of the billing period. Upon termination, you have 30 days to export your data.
12. Disclaimers
The Services are provided "as is" without warranties. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AI outputs may be inaccurate, biased, or unsuitable. You are responsible for evaluating AI suitability and implementing human review.
13. Limitation of Liability
ExoChat shall not be liable for indirect, incidental, or consequential damages. Aggregate liability caps: Free/Trial €5,000; Paid plans: greater of 12 months of fees or €25,000; Enterprise: as specified in your Order Form. Exceptions apply for payment obligations, IP breach, fraud, or where prohibited by law.
14. Indemnification
You agree to indemnify ExoChat against claims arising from your use, violation of Terms, or Customer Data. We agree to indemnify you against third-party IP claims regarding the Services, subject to your cooperation.
15. Force Majeure
Neither party is liable for failure due to causes beyond reasonable control (natural disasters, war, pandemics, third-party outages). The affected party shall notify the other and use reasonable efforts to mitigate. Either party may terminate if the event continues over 30 days.
16. Changes to the Terms
We may update these Terms. Material changes will be notified 30 days in advance. Free users: continued use constitutes acceptance. Paid users: 30 days to accept or terminate with pro-rata refund. Enterprise: material changes require mutual agreement.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of Estonia. Disputes: first 30 days informal negotiation, then optionally mediation, then competent courts of Tallinn, Estonia (or arbitration for disputes over €50,000).
18. Business Continuity & Disaster Recovery
We maintain backup procedures, continuous replication, and encrypted backups. Enterprise RTO: 4 hours; RPO: 1 hour. We maintain a documented disaster recovery plan.
19. Miscellaneous
These Terms constitute the entire agreement. Severability, no waiver, assignment restrictions, and independent contractor relationship apply. Notices: legal@exochat.ai, Keemia tn 4, 10616 Tallinn, Estonia. English version prevails.

AI Interaction Data — prompts, messages, outputs, logs processed through ExoChat. Customer — entity or individual using ExoChat Services. Customer Data — data submitted to the Services. End Users — users interacting with Customer's AI flows. Services — ExoChat's websites, applications, platform, APIs, and related services.
By using ExoChat Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
